General
1. All information in this Agreement has been supplied in good faith and is a true & reasonable depiction.
2. Both parties undertake to deal honestly, co-operatively, and professionally, with each other.
3. Both Parties undertake to keep confidential all non-public domain and/or Commercial-In-Confidence information concerning or given by the other party, and not disclose to any other parties without written permission. All information is deemed to be Commercial-In-Confidence, unless it is known to be in the public domain.
4. NWS and NCS Instant Retail Quotes System will endeavour to create additional business through the NCS Instant Retail Quotes System and NCS Instant Retail Quotes System Quote Requests for all NCS Instant Retail Quotes System Resellers and Service Agents, but NCS Instant Retail Quotes System holds out no promise or undertaking to provide any business or Quote Requests to any Reseller or Service Agent whatsoever.
5. Any results achieved from NCS Instant Retail Quotes System largely depend on Resellers and Service Agents completing and keeping their NCS Instant Retail Quotes System details and NCS Instant Retail Quotes System Sales & Service Category selections up-to-date and accurate so that search results will be as accurate and comprehensive as possible.
6. Resellers and Service Agents agree that they shall be professional, ethical, and competent.
NCS Instant Retail Quotes System Fees
1. National Warranty Services and NCS Instant Retail Quotes System may, at some future time, in some way, wish to levy a fee based on Quote Requests generated by the NCS Instant Retail Quotes System portal, and/or for membership of the NCS Instant Retail Quotes System portal. This fee/s may apply only to Resellers and Service Agents not using NWS warranties, or there may be a differing fee structure.
2. In the event of this happening, any Reseller or Service Agents are under absolutely no obligation to continue their NCS Instant Retail Quotes System membership, and will NOT be charged any fee, or incur any liability or charge, without their express consent.
Cancellation of Agreement
1. NWS and NCS Instant Retail Quotes System may cancel individual NCS Instant Retail Quotes System membership and participation without notice and without recourse, for reasons deemed by National Warranty Services to be unprofessional and/or unethical service or behaviour, or in any way detrimental to National Warranty Services' or NCS Instant Retail Quotes System's reputation for ethical and professional service.
2. Any NCS Instant Retail Quotes System Reseller or Service Agent may terminate or cancel this Agreement, and withdraw from participation in the NCS Instant Retail Quotes System, at any time, for any reason.
2. Termination or cancellation by an Authorised NWS Reseller or Service Agent of their NCS Instant Retail Quotes System membership and Agreement does not terminate or affect their NWS status.
